Terms of Service

These Terms of Service ("Terms") govern your access to and use of ReflexWare (the "Service"), operated by ReflexWare ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms.

1. Accounts and organizations

To use the Service you must create an account and provide accurate, current information. The Service is organized around organizations (workspaces). The person who creates an organization is its owner and is responsible for it, including managing team members, permissions, billing and the data stored within it.

You are responsible for safeguarding your credentials and for all activity under your account. You must promptly notify us of any unauthorized use. You must be at least the age of majority in your jurisdiction to use the Service.

2. Subscriptions, add-ons and fees

The Service is offered on a subscription basis across tiers, plus optional per-module add-ons and usage-based charges (for example email sending, AI credits, storage and messaging). By subscribing you authorize recurring charges for your selected plan and any add-ons or usage you incur, until you cancel.

  • Subscription fees are billed in advance on a monthly or annual basis depending on the interval you select.
  • Usage-based and add-on charges accrue as you use those features and are billed according to the rates in effect at the time of use.
  • Unless required by law or stated in our Refund Policy, fees are non-refundable.
  • We may change plan pricing or usage rates on prospective notice; changes take effect at the start of your next billing period.

3. Payment processing

Payments are processed by Stripe. By providing payment information you agree to Stripe's terms and authorize us and Stripe to charge your payment method. We do not store full card numbers; card data is handled by Stripe. If you use the Service to collect payments from your own customers, you are responsible for your Stripe connected account, your relationship with those customers, and any applicable platform transaction fees disclosed for your plan.

4. Trials and cancellation

Where a free trial or free tier is offered, it may be subject to limits and may convert to a paid plan unless cancelled. You may cancel at any time from your billing settings. Cancellation stops future renewals; you retain access through the end of the current paid period unless stated otherwise.

5. Acceptable use

You agree not to, and not to permit anyone to:

  • violate any law or the rights of others;
  • send spam or unlawful communications, or use the email, messaging or AI features to distribute malware, phishing or deceptive content;
  • upload content that is illegal, infringing, or that you lack the right to use;
  • probe, scan, overload, or attempt to gain unauthorized access to the Service or other tenants' data;
  • resell or provide the Service to third parties except through the white-label capabilities we expressly provide (see Section 7).

We may suspend or terminate access for violations, and may remove content that violates these Terms.

6. Your content and data

You retain ownership of the data, files, and content you and your organization submit to the Service ("Customer Data"). You grant us a limited license to host, process and transmit Customer Data solely to provide and improve the Service and as described in our Privacy Policy. You are responsible for the Customer Data, for having the rights and consents necessary to submit it, and for its lawful use — including any personal data of your own customers that you process through the Service.

7. White-label and reseller obligations

The Service offers two-tier white-label capabilities that let you operate the Service under your own brand and provision client sub-organizations. If you use these capabilities, you are the primary point of contact for your clients, you are responsible for your clients' compliance with terms consistent with these Terms, and you must not misrepresent the Service's capabilities. You remain responsible for all fees and usage generated by your client organizations.

8. Intellectual property

The Service, including its software, design and trademarks, is owned by ReflexWare and its licensors and is protected by law. Except for the rights expressly granted to you, no rights are transferred. You may not copy, modify, reverse engineer, or create derivative works of the Service except as permitted by law.

9. Third-party services

The Service integrates with third parties (for example Stripe, email and AI providers, and storage). Your use of those integrations may be subject to their terms, and we are not responsible for third-party services.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure.

11. Limitation of liability

To the maximum extent permitted by law, ReflexWare will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill. Our total liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

You will indemnify and hold harmless ReflexWarefrom claims arising out of your Customer Data, your use of the Service, your clients' use where you resell the Service, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or if required by law. Upon termination your right to use the Service ceases; provisions that by their nature should survive (including Sections 6, 8, 10–12) will survive.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance.

15. Governing law
